Terms of Service

These terms govern your use of the PranaviSoft platform ("the Service"), which enables businesses to send WhatsApp messages to their own customers via Meta's WhatsApp Business Platform. By creating an account you agree to these terms.

1. Eligibility

You must be a business or an individual operating a business, and be legally able to enter into a contract. You are responsible for ensuring your use of the Service complies with the laws that apply to you.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity carried out under your account, including by team members you invite.
You must provide accurate account and business information and keep it current.

3. WhatsApp Business Platform

The Service depends on Meta's WhatsApp Business Platform. Your use is also subject to Meta's own terms and policies, including the WhatsApp Business Messaging Policy and WhatsApp Commerce Policy. You are responsible for complying with them.

Important: message charges levied by Meta are billed to you directly by Meta against the payment method on your WhatsApp Business Account. Those charges are separate from your PranaviSoft subscription, and we do not control Meta's rates.

4. Acceptable use

You agree not to use the Service to:

Send messages to people who have not consented to receive them.
Send spam, or messages that are misleading, fraudulent or deceptive.
Send content that is unlawful, harassing, hateful, or infringes another party's rights.
Impersonate any person or organisation.
Attempt to breach, disrupt or gain unauthorised access to the Service or other users' data.

You must obtain valid opt-in consent from every contact you upload, and honour opt-out requests promptly. Accounts found in breach may be suspended without refund.

5. Your data

You retain ownership of the contact and message data you upload. You grant us the limited right to process it in order to operate the Service on your behalf. Our handling of data is described in our Privacy Policy.

6. Fees and payment

Subscription fees are billed monthly in advance and are stated on our website.
Payments are processed by Razorpay. Applicable taxes may be added.
Fees are non-refundable except where required by law.
We may change pricing with at least 30 days' notice to existing customers.
Non-payment may result in suspension of the Service.

7. Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted operation. The Service depends on third parties, including Meta, whose outages or policy changes may affect message delivery and are outside our control.

8. Cancellation

You may cancel at any time; the Service continues until the end of the paid period. We may suspend or terminate accounts that breach these terms, or where required by Meta or by law.

9. Limitation of liability

To the extent permitted by law, PranaviSoft is not liable for indirect or consequential losses, including lost profits or lost business, arising from use of the Service. Our total liability in any 12-month period is limited to the subscription fees you paid us in that period.

10. Changes to these terms

We may update these terms. Material changes will be notified by email or in the platform, and continued use after the effective date constitutes acceptance.

11. Governing law

These terms are governed by the laws of India, and the courts of Tamil Nadu shall have jurisdiction over any dispute.
